PROMOTION ENTRY PERIOD: Johnjay and Rich’s iHeartRadio Music Festival Flyaway Sweepstakes (the “Sweepstakes”)begins at 6:00:01am Pacific Time (“PT”) on June 14, 2018 and ends at 9:59:59am PT on June 15, 2018 (the “Sweepstakes EndDate”) (collectively, the “Promotion Entry Period”). All entries must be received during the Promotion Entry Period. The RadioShow’s (defined below) computer is the official time keeping device for this Sweepstakes. During the Promotion Entry Period,there will be two (2) daily drawings as set forth in Section 4 below (each, a “Daily Drawing Period”).2. ELIGIBILITY: Sweepstakes is open to legal residents of the fifty (50) United States and the District of Columbia who are atleast eighteen (18) years of age or older as of the date of entry. If a participant has not reached the age of majority in his/herprimary state of residence as of the date of entry into the Sweepstakes (which is eighteen (18) years old in most states but isnineteen (19) years old in Alabama and Nebraska and twenty-one (21) years old in Mississippi) (a “Minor”), then the participantmust obtain parental consent in order to be eligible to enter the Sweepstakes. Parental consent occurs when the parent or legalguardian of a Minor who has not reached the age of legal majority in their residing state grants permission for the Minor toparticipate and agrees on behalf of himself/herself and the Minor to these Official Rules. If you are not a legal resident of theUnited States or you are not the required age as of the date of entry, you are not eligible to participate in this Sweepstake s or towin a prize. It is strictly prohibited for anyone who does not meet the age requirement as of the date of entry to be allowed toparticipate in the Sweepstakes and in no situation shall anyone under the age of thirteen (13) be permitted to enter anysweepstakes at any time, under any circumstances. Individuals who have won a prize from the Sponsor (a sdefined below) within one hundred eighty (180) days prior to the start date of this Sweepstakes are not eligible to enter or win.Employees of Premiere Networks, Inc. (the “Prize Provider”), any affiliated promotionalpartners, any third party prize provider(s) and/or prize fulfillment service, each radio station contracted to broadcast the RadioShow, and each of the foregoing’s respective parents, subsidiaries, affiliates, officers, directors, successors, assigns, and each oftheir employees, talent, artists, volunteers, shareholders, contractors, agents, and advertising agencies (collectively, the“Sweepstakes Entities”), as well as members of the immediate family of any such persons, are not eligible to participate and win.The term “immediate family” includes spouses, siblings, parents, children, grandparents, and grandchildren, whether as “in -laws,”or by current or past marriage(s), remarriage(s), adoption, co-habitation or other family extension, and any other persons residingat the same household whether or not related.The Sweepstakes is administered by the Sponsor and any questions, comments or complaints regarding the Sweepstakes must bedirected to the Sponsor.3. HOW TO ENTER: Each weekday during the Promotion Entry Period, listen LIVE to the Radio Show on your local radiostation (as noted at https://johnjayandrich.iheart.com/howtolisten/) between 6:00:01am PT and 9:59:59am PT for the on-air cue(each, a “Cue”) to call in to the Radio Show’s toll-free contest line at (877) 937-1047 and be a designated caller for theSweepstakes. If the Radio Show determines a designated caller is not eligible, the Radio Show many select the next consecutiveeligible caller for that playtime. HOW TO PLAY: Each designated caller (the “Caller”) will be offered the opportunity to share something about their father (the“Game”) and become a finalist (a “Finalist”), subject to verification of eligibility and compliance with these Official Rules. Thenumber of Finalists will depend on the total length of time available for the Game. Odds of becoming a Finalist depend on thenumber of eligible callers placing calls in response to the Cue. LIMIT: One (1) Finalist per person/household.The Sponsor assumes no responsibility for participants not making timely phone calls to the Radio Show as a result of the delaysin the Internet stream. Participants should not rely on streamed broadcasts to participate in any promotion. WARNING: Onlinelisteners to streamed broadcasts may experience a lag in transmissions due to buffering limitations and other delays in the onlinestreaming of its broadcast signal. Listeners of the online stream may not be able to participate in, or may be disadvantaged in participating in on-air promotions, and should contact their local station to determine participation or visit the Radio Show’swebsite. Sweepstakes not valid on weekends and holidays unless otherwise mentioned herein or announced on air. Entries will bedeemed made by the authorized account holder of the email or telephone phone number submitted at the time of entry andqualification. Use of any device to automate entry is prohibited. The Sponsor is not responsible for entries not received due todifficulty accessing the internet, service outage or delays, computer difficulties and other technological p roblems.Entries are subject to any applicable restrictions or requirements listed herein. The Sponsor is not responsible for entries notreceived due to difficulty accessing the internet, service outage or delays, computer difficulties, and other technological p roblems.The Released Parties (as defined below) are not responsible for lost, late, undeliverable, illegible, damaged, stolen, garbled,delayed, misdirected, mutilated, or incomplete entries or communications, regardless of cause. Multiple participants are notallowed to use the same email address. Any attempt by a participant to acquire more than the sated number of entries by usingnumerous email addresses, registrations, identities, or any other methods will void that participant’s entries and that participantmay be disqualified. The use of automated software or computer programs to register or enter the Sweepstakes is prohibited, andany individual who uses or attempts to use such methods to register or to enter will be disqualified. Incomplete and/or multipleentries will be disqualified. DAILY PRIZE DRAWING / WINNER NOTIFICATION: One (1) potential winner will be selected in a random drawingconducted by the Radio Show from among all Finalists from the applicable Daily Drawing Period at the approximate date andtime set forth below. Non-winning Finalists will NOT carry over to the next Daily Drawing Period. If a potential winner cannot be contacted from the information provided on the entry form, is disqualified, or deemedineligible, the Sponsor reserves the right to select another winner at its sole discretion and if time permits (up to a maximum ofthree (3) alternate winner selections). The alternate potential winner will also be notified in accordance with this paragraph .By participating, you agree (a) to be bound by these Official Rules; (b) as between you and the Sponsor, that the decisions o f theSponsor is final on all matters relating to the Sweepstakes; (c) you are not participating on behalf of any employer or third party;(d) in the event that you do not comply with these Official Rules, that you will be disqualified and your prize (if any) will beforfeited; and (e) (when applicable) the potential winner and/or finalist must be available to participate in any portion of theSweepstakes that participation may be required to be considered eligible.Potential winner(s) is subject to verification, including verification of eligibility. PRIZE(S): TWO (2) GRAND PRIZES: One (1) trip for two (2) people between Friday, September 21 and Sunday, September23, 2018 for the Winner and one (1) eligible guest to attend the 2018 iHeartRadio Music Festival and Daytime Stage (together,the “Concert”) on Friday, September 21 and Saturday, September 22, 2018 (Approximate Retail Value (“ARV”): $3,550.00). Each grand prize includes: Round-trip domestic, coach air transportation for the Winner and one (1) eligible guest from the major commercialairport nearest Winner’s residence (as determined by Prize Provider in its sole discretion) within the fifty (50) U.S./D.C.to Las Vegas, NV departing on Friday, September 21, 2018 and returning on Sunday, September 23, 2018; Ground transportation to and from the Las Vegas airport and the hotel; Two (2) nights’ hotel accommodations in one (1) double occupancy, standard hotel room (on nights of Friday,September 21 and Saturday, September 22, 2018) in Las Vegas, NV; Two (2) tickets to attend both nights the 2018 iHeartRadio Music Festival at T-Mobile Arena in Las Vegas, NV onFriday, September 21 and Saturday, September 22, 2018; Two (2) tickets to attend the 2018 iHeartRadio Music Festival Daytime Stage at the Festival Grounds next to CircusCircus on Las Vegas Blvd. in Las Vegas, NV on Saturday, September 22, 2018.Prize value may vary depending upon departure location and time of travel. Other restrictions apply. The total ARV of all prizesis $7,100.00. Prize(s) provided by Prize Provider.Winner(s) must complete and return an Affidavit (as defined below) before any p rize will be awarded. Travel must take placebetween September 21, 2018 and September 23, 2018 and is based on Concert availability, travel restrictions, and blackout dates.Any other dates are not valid. If a Winner is unavailable for travel by the designated date, the Winner will be disqualified and theSponsor reserves the right to select another Winner in its sole discretion and if time permits. A Minor must be accompanied by aparent or legal guardian. Any Minor must be accompanied at all times during trip (including, but not limited to, in-flight, hotelstay, and all prize-related events) by Minor’s parent or legal guardian. If a Winner is the age of majority in his/her state ofresidence but is under twenty-one (21) years of age, he/she must be accompanied by a guest who is twenty-one (21) years of ageor older. Exact travel dates and arrangements may be subject to availability whether specified or not. Actual value of a Gr andPrize may depend on city of departure, travel dates, and other factors. Any difference between the estimated value of a prize andthe actual value will not be awarded to a Winner. If actual value of the prize is less than the stated ARV, or the Winner and/or, ifapplicable, his/her guest(s) forfeit, do not use, or are determined ineligible for any portion of the prize, the Winner will not receivethe difference between the actual and ARV, and such difference will be forfeited. Attendees must travel out of the same airp ortand on the same itinerary. Attendees are responsible for all necessary travel authorizations such as passports, visas, and/orgovernment identification and for any travel insurance. Selection of airline and hotel are solely within Sweepstakes Entitie s’discretion. Airline tickets are non-refundable/non-transferable and are not valid for upgrades and/or frequent flyer miles. Allairline tickets are subject to flight variation, work stoppages, and schedule or route changes. Sponsor is not the supplier orguarantor of any prize, unless otherwise specified. Prize fulfillment may be coordinated with Winner(s) by a third party prizefulfillment service on behalf of Sponsor and/or Prize Provider. Meals and beverages, incidentals, gratuities, phone calls, luggagefees, travel insurance, seating upgrades, airport and travel taxes, ground transportation before, during, and after the trip (asapplicable), and any and all other travel-related expenses not specifically mentioned herein are the sole responsibility ofAttendees. Where applicable, if, in the judgment of the Sweepstakes Entities, air travel is not required due to Winner'sproximity to the prize destination, ground transportation will be substituted for roundtrip air travel at the SweepstakesEntities’ sole and absolute discretion. The difference in value will not be awarded to the Winner. If, for any reason, any partof the trip package is cancelled or shall become unavailable, postponed, or canceled, the Sweepstakes Entit ies shall have nofurther responsibility for that portion of the prize and the prize will be awarded without the inclusion of the item on the s ameitinerary. If concerts or other ticketed events have been awarded as part of this prize package and the conc ert or event ispostponed, rained out, canceled, or for other reasons do not occur, the Sweepstakes Entities will not be responsible for replacingthat portion of the prize. The Sweepstakes Entities are not responsible for late, lost, damaged or stolen luggage. Any providedtickets are subject to certain terms and conditions specified thereon, and seat locations are as solely determined by Sponsor or itsdesignee. The Sweepstakes Entities are not responsible for any travel delays, flight cancellations or d ifficulty. If travel delays,cancellations or difficulty prevent arrival in time for any and all elements of trip, the Sweepstakes Entities is not respons ible forawarding any compensation in lieu thereof. Any changes to completed travel arrangements, on ce booked, are the soleresponsibility of the Winner, and are solely at the Winner’s expense. All prizes or prize vouchers must be redeemed as stated inthe prize notification or otherwise stated in the Official Rules. Failure to collect or properly claim any prize in accordance withthese Official Rules will result in forfeiture of the prize. If forfeited for any reason, Winner will not receive any other prizesubstitution or compensation, and the prize will remain the property of the Sponsor and will n ot be awarded, except as providedherein. Winner agrees to accept all blackout dates, space availability requirements, etc. established by the Sponsor’s prizepartner(s), such as hotels, airlines, trains, ships, concert or event venues etc. Attendees must comply with all applicable laws, andany rules and regulations established by the Sponsor’s prize partner(s), if any; such as hotels, airlines, trains, ships, con cert orevent venues etc. Winner agrees that acceptance of any trip taken as a prize is done s o entirely upon their own initiative, risk, andresponsibility. BY ACCEPTING PRIZE, WINNER(S) ACCEPT THE INHERENTLY DANGEROUS NATURE AND RISK INANY TRAVEL OR TRANSPORTATION, INCLUDING BOATING, SUCH RISK INCLUDING PERSONAL INJURYAND/OR DEATH, ACKNOWLEDGES THAT HIS/HER PARTICIPATION IN THE PRIZE EVENT IS VOLUNTARY,ACKNOWLEDGES THAT THERE ARE NATURAL FACTORS AND OCCURRENCES WHICH MAY IMPACT ON ORAFFECT THE SAFETY OF THE ACTIVITIES HE/SHE IS PARTICIPATING IN AND HE/SHE ASSUMES THE RISK OF SUCH FACTORS AND OCCURRENCES AND AGREES THAT THE SPONSOR AND SWEEPSTAKES ENTITIES SHALLNOT BE IN ANY WAY RESPONSIBLE FOR ANY RESULTING INJURY AND/OR DEATH.The Sweepstakes Entities shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissionswhatsoever by the air carriers, hotels, venue operators, transportation companies, prize providers or any other persons providingany prize-related services or accommodations. The Sponsor reserves the right to substitute any portion of t hese prizes, includingtravel dates and destination, for a prize of comparable or greater value. The Sponsor and Sweepstakes Entities are not in an y wayresponsible or liable for damages resulting from shipping and handling, loss, use or misuse of any prize awarded in thisSweepstakes. The prize(s) are awarded if properly claimed according to the Official Rules and if there are sufficient eligibleentries. The Sweepstakes Entities do not make, and are not responsible in any manner for, any warranties, representations, orguarantees, express or implied, in fact or law, relating to any prizes, regarding the use, value or enjoyment of the prize, including,without limitation, its quality, mechanical condition, merchantability, or fitness for a particular purpo se. Prize details and availabilityare subject to change. If a Winner cannot be contacted or is disqualified, the Sponsor reserves the right to determine an alternateWinner, in its sole discretion. The Sponsor will host a maximum of three (3) alternate Winner selection s after which anapplicable prize will remain un-awarded. Unclaimed prize(s) will not be awarded. Other restrictions may apply. All federal,state, and local taxes on the prize are the sole responsibility of the Winner(s). ALL PRIZES ARE AWARDED “AS IS” ANDTHE SPONSOR DOES NOT MAKE (AND IS NOT RESPONSIBLE FOR) ANY REPRESENTATIONS, GUARANTEES, ORWARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATING TO ANY PRIZE(INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR APARTICULAR PURPOSE), AND ALL SUCH WARRANTIES ARE HEREBY DISCLAIMED. No more than the advertisednumber of prizes will be awarded.7. RELEASE FORM(S): As a condition of participating in the Sweepstakes, participants agree and acknowledge that in order toreceive a prize and be deemed a Winner, participants must sign an official waiver form provided by the Sponsor and agree to t heterms herein, including but not limited to the prize conditions. The Winner(s) and, if a Winner is a Minor, the Win ner's parent orguardian, will be required to complete and return an Affidavit of Eligibility/Liability Release (including, where permitted, aPublicity Release) (the “Affidavit”) within seven (7) calendar days after the first (1st) delivery attempt to Winner’s email addressin order for the Winner to be qualified for the prize. A Winner’s failure to return all required forms within this time period mayresult in the Winner being disqualified and an alternate participant may be selected from all remaining eligible entries, asdetermined by the Sponsor in its sole discretion. Where applicable, any guest(s) of a Winner (or his/her parent or legal guardianif a guest is a Minor) must complete a Liability Release (including, where permitted, a Publicity Releas e) prior to issuance oftravel documents. The Winner will be subject to a verification process, to include Winner’s name, address, home phone number,work/cell phone number, and social security number or taxpayer identification number. The Sweepstakes Ent ities are notresponsible for and shall not be liable for late, misdirected, or unsuccessful efforts to notify Winner(s) or for any late ormisdirected Affidavits or if the Winner is a Minor, for late, misdirected, or unsuccessful efforts of Winner to prov ide signedparental or guardian consent. If the Winner does not claim the prize within the appropriate time given upon notification or unlessotherwise stated herein, the participant will automatically be disqualified and their prize will be forfeited and no alternative prizewill be substituted.8. (b) ANY ATTEMPT TO DELIBERATELY DAMAGE, CIRCUMVENT, OR DISRUPT THE SPONSOR’SAND/OR RADIO SHOW’S WEBSITE (OR ANY PART THEREOF) OR UNDERMINE THE LEGITIMATE OPERATIONOF THIS SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD ANY SUCH ATTEMPTBE MADE, THE SPONSOR AND ITS LICENSEES (IF ANY) RESERVE THE RIGHT TO SEEK DAMAGES AND ANYOTHER AVAILABLE REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR ANY SUCH ATTEMPT TO THEFULLEST EXTENT PERMITTED BY LAW. EACH PARTICIPANT (OR, WHERE APPLICABLE, IF THE PARTICIPANTIS A MINOR, THE PARENT OR LEGAL GUARDIAN THEREOF, WHERE APPLICABLE) AGREES TO INDEMNIFYAND HOLD HARMLESS THE SPONSOR, SWEEPSTAKES ENTITIES, AND EACH OF THEIR RESPECTIVE AGENTSFROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, DAMAGES AND/OR LIABILITIES (INCLUDINGREASONABLE ATTORNEYS' FEES AND EXPENSES) THAT MAY BE ASSERTED AGAINST OR INCURRED BY ANYOF THEM AT ANY TIME, IN CONNECTION WITH THE USE THEREOF, AND/OR BY PARTICIPANT’S BREACHES OF ANY REPRESENTATION, WARRANTY OR COVENANTS ASSOCIATED WITH THIS SWEEPSTAKES. BINDING ARBITRATION: Any controversy or claim arising out of or relating to the Sweepstakes shall be settled by bindingarbitration in a location determined by the arbitrator as set forth herein (provided that such location is reasonably con venient forclaimant), or at such other location as may be mutually agreed upon by the parties, in accordance with the procedural rules forcommercial disputes set forth in the Comprehensive Arbitration Rules and Procedures of JAMS (“JAMS Rules and Procedu res”)then prevailing, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdictionthereof. If any part of this arbitration provision isdeemed to be invalid, unenforceable or illegal (other than that claims will not be arbitrated on a class or representative ba sis), orotherwise conflicts with the rules and procedures established by JAMS, then the balance of this arbitration provisio n shall remainin effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provis ion werenot contained herein. If, however, the portion that is deemed invalid, unenforceable or illegal is that cla ims will not be arbitratedon a class or representative basis, then the entirety of this arbitration provision shall be null and void, and neither claimant norSponsor shall be entitled to arbitrate their dispute. Upon filing a demand for arbitration, all parties to such arbitration shall havethe right of discovery, which discovery shall be completed within sixty (60) days after the demand for arbitration is made, u nlessfurther extended by mutual agreement of the parties. THE ARBITRATION OF DISPUTES PURSUANT TO THISPARAGRAPH SHALL BE IN THE PARTICIPANT’S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASSMEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
